Zeteo Terms of Service

ZM22ZR, LLC (”Zeteo,” “we,” “us,” or “our”) provides the Zeteo mobile application (the “App”) and related services (together, the “Services”). These Terms of Service (”Terms”) are a legal agreement between you and Zeteo governing your use of the Services.

These Terms apply to the Zeteo App on iOS and Android. They do not cover Substack’s own website or services, or any third-party website or service you access through a link in the App. Those are governed by their own terms.

By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Summary

For quick reference (the detail is in the sections below):

• The App gives you access to Zeteo’s journalism: articles, video, shows, audio narration, and offline reading.

• Some content is free. Paid content requires an active Zeteo subscription, which you can hold either through Substack or as an in-app subscription purchased on iOS.

• In-app subscriptions are annual and renew automatically until you cancel. You cancel and request refunds through Apple, not through us.

• The content in the App is ours or our licensors’, and is for your personal, non-commercial use.

• We can change or discontinue features, and we can suspend accounts that abuse the Services.

• Nothing here takes away rights you have under the consumer laws of your country.

2. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the App. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or guardian who agrees to these Terms. The App is not directed to children under 13, and we do not knowingly permit them to create sessions or make purchases.

3. Your Account and Sign-In

To access subscriber content, you sign in with your Substack account. Authentication happens on Substack’s own login screen. We never receive or store your Substack password; we receive only your email address, your name where you have given one to Substack, and your subscription plan and status.

You are responsible for keeping your sign-in credentials secure and for activity that occurs under your account. Tell us at support@zeteonews.com if you believe your account has been used without your permission.

Signing out in the App clears your session and the content stored locally on your device.

Substack is a separate company and your relationship with it — including your account there, your billing, and its own terms — is between you and Substack.

4. Subscriptions and Payment

Zeteo offers both free and paid content. Access to paid content requires an active subscription, held in one of the ways below.

4.1 Substack subscriptions

If you subscribe to Zeteo through Substack, Substack bills you and manages your plan. The App verifies your subscription status with Substack in order to unlock the content you are entitled to. Pricing, renewal, cancellation, and refunds for a Substack subscription are governed by Substack’s terms and are handled in your Substack account, not in the App.

4.2 In-app subscriptions (iOS)

On iOS, you may instead purchase an annual Zeteo subscription inside the App. That purchase is processed by Apple through your Apple Account. When you buy an in-app subscription:

• The price shown at the point of purchase is the price charged, in your local currency as set by Apple.

• The subscription is for a term of one year and renews automatically at the then-current price unless you cancel at least 24 hours before the end of the current term.

• Apple charges your Apple Account for renewal within 24 hours before the end of the current term.

• You can manage or cancel the subscription at any time in your Apple Account subscription settings. Cancelling stops future renewals; it does not shorten the term you have already paid for.

• Refunds are handled by Apple under its refund policy. We cannot issue refunds for purchases made through Apple.

• If you delete the App, your subscription continues until you cancel it with Apple.

You can restore a previous in-app purchase on a new device using “Restore Purchases” in the App, signed in to the same Apple Account.

4.3 Substack access included with an in-app subscription

An in-app subscription also includes access to Zeteo on zeteo.com and to Zeteo’s Substack emails. To activate it, you give us the email address you want that access attached to, and we grant it on Substack. Activation is not instantaneous — it is typically completed within a day, and we email you once it is active. This complimentary access lasts for as long as your in-app subscription remains active and is withdrawn if the subscription lapses, is refunded, or is cancelled.

4.4 Price and plan changes

We may change subscription prices or the content included in a plan. For in-app subscriptions, Apple will notify you of a price increase and, where required, obtain your consent before it takes effect; you can cancel instead. Changes never apply retroactively to a term you have already paid for.

4.5 Taxes

Prices may include applicable taxes depending on your location. Where Apple or Substack acts as merchant of record, that party handles tax collection and remittance.

5. Licence to Use the App

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, for your own personal, non-commercial use.

You may not, and may not permit anyone else to:

• Copy, modify, translate, or create derivative works of the App

• Reverse engineer, decompile, or disassemble the App, except to the extent that restriction is unenforceable under applicable law

• Rent, lease, lend, sell, sublicense, or otherwise transfer the App or your access to it

• Remove or obscure any copyright, trademark, or other proprietary notice

6. Content and Intellectual Property

All content in the App — articles, video, audio, images, show artwork, narration, design, and the App itself — is owned by Zeteo or its licensors and is protected by copyright, trademark, and other laws. “Zeteo” and the Zeteo logo are our trademarks.

Nothing in these Terms transfers ownership of any content to you. You may:

• Read, watch, and listen to content for your own personal, non-commercial use

• Save and cache content within the App for offline reading

• Share links to content using the App’s sharing features

You may not republish, redistribute, syndicate, sell, scrape, text- or data-mine, or use any content to train a machine-learning or generative AI model, or otherwise exploit content commercially, without our prior written permission. Systematic or bulk downloading of content is prohibited.

Quoting a short excerpt with attribution and a link, as ordinary commentary or reporting, is permitted.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose, or in violation of these Terms

• Circumvent, disable, or interfere with the paywall, subscription verification, access codes, or any other security or access-control feature

• Share, resell, or publish credentials, session tokens, or access codes, or use an account you are not entitled to use

• Interfere with or disrupt the Services, our servers, or our networks, including by overloading, flooding, or attacking them

• Use bots, scrapers, or automated means to access the Services, except for well-behaved search-engine crawlers acting within our published rules

• Attempt to gain unauthorized access to any part of the Services, other accounts, or our systems

We may rate-limit, throttle, or block requests we reasonably believe to be abusive.

8. Audio Narration and Media Playback

Some articles offer an audio narration. Unless a recording is expressly identified as the voice of a named person, narration is generated by a synthetic text-to-speech voice, and may contain pronunciation or rendering errors that do not appear in the written article. The written article is the authoritative version.

The App supports background audio, lock-screen controls, CarPlay, and picture-in-picture video where your device supports them. Use these features responsibly. Do not interact with the App while driving beyond what your vehicle’s own controls safely allow; you are responsible for complying with the law wherever you are.

Media playback consumes mobile data. Data charges from your carrier are your responsibility.

9. Offline Content

The App caches article content on your device so you can read offline. Cached content is a convenience copy licensed to you under Section 6, is not guaranteed to be current, and may be cleared when you sign out, when your subscription lapses, or when the App manages storage. Do not rely on cached content as a permanent archive.

10. Push Notifications

If you opt in, we send push notifications in the categories you choose. You can change categories or turn notifications off at any time in the App’s settings or your device’s system settings. Delivery depends on Apple’s and Google’s networks and on your device and network conditions; we cannot guarantee that any particular notification arrives, or arrives on time.

11. Editorial Content

Zeteo publishes journalism, analysis, and commentary. Content reflects the views of its authors at the time of publication and is provided for general information. It is not legal, financial, medical, or other professional advice, and you should not rely on it as such.

We may correct, update, remove, or archive content at any time. Where an article is materially corrected, we aim to note the correction.

12. Third-Party Services and Links

The App links to and interoperates with third-party services, including Substack, Apple, Google, and the sites of sources referenced in articles. We do not control those services and are not responsible for their content, terms, availability, or practices. Your use of them is governed by their own terms and privacy policies.

13. Privacy

Our handling of personal information is described in the Zeteo Privacy Policy, which forms part of your agreement with us.

14. Availability and Changes to the Services

We may add, change, suspend, or discontinue any part of the Services, including features and content, at any time. We may also update the App, and some updates may be required for it to keep working.

We aim to keep the Services available but do not promise uninterrupted or error-free operation. Maintenance, outages at our providers, and factors outside our control can interrupt access.

If we permanently discontinue a paid feature you are actively paying for, we will provide a pro-rated refund or an equivalent remedy where required by law.

15. Suspension and Termination

You may stop using the App at any time, sign out, and delete it.

We may suspend or terminate your access, with or without notice, if we reasonably believe you have breached these Terms — in particular Sections 6 and 7 — or if we are required to do so by law. Where the breach is minor and curable, we will normally contact you first.

Termination does not entitle you to a refund except where required by law or where we terminate without cause while you hold a paid subscription. Sections 6, 16, 17, 18, and 19 survive termination.

16. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will meet your requirements, be uninterrupted, secure, or error-free, or that content will be accurate, complete, or current.

Nothing in these Terms excludes or limits any warranty, guarantee, or right that cannot lawfully be excluded or limited, including consumer guarantees under the laws of your country of residence.

17. Limitation of Liability

To the fullest extent permitted by law:

• Zeteo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or relating to the Services, whether based in contract, tort, or any other theory, even if we have been advised of the possibility.

• Zeteo’s total aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months before the event giving rise to the claim, or (b) fifty US dollars (US$50).

Some jurisdictions do not allow these exclusions or limitations, in which case they apply to you only to the extent permitted.

18. Indemnification

You agree to indemnify and hold harmless Zeteo and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from your misuse of the Services, your breach of these Terms, or your violation of any law or third-party right. This does not apply to the extent the claim arises from our own acts or omissions.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Zeteo agree to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, for any dispute not resolved informally.

If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law gives you the right to bring proceedings locally or to the protection of mandatory local consumer law, nothing in this section removes that right.

Before filing a claim, please contact us at support@zeteonews.com. Most issues can be resolved that way, and we will try in good faith to do so.

20. Apple-Specific Terms

This section applies to the App obtained through the Apple App Store:

• These Terms are between you and Zeteo, not Apple. Apple is not responsible for the App or its content.

• Apple has no obligation to provide maintenance or support for the App.

• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.

• Apple is not responsible for addressing any claim by you or a third party relating to the App, including product liability, regulatory non-compliance, or consumer protection claims.

• If a third party claims the App infringes its intellectual property, Zeteo, not Apple, is responsible for the investigation and resolution of that claim.

• You represent that you are not located in a country subject to a US Government embargo or designated as “terrorist supporting,” and that you are not on any US Government restricted-parties list.

• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

21. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Zeteo about the Services, and replace any earlier understanding on the subject.

Severability. If any provision is held unenforceable, the rest remains in force and the unenforceable provision is narrowed to the minimum extent necessary.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, financing, or sale of assets.

Force majeure. Neither party is liable for a failure to perform caused by events beyond its reasonable control.

22. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice in the App. Your continued use of the Services after updated Terms take effect constitutes acceptance of the changes. If you do not accept them, stop using the Services and cancel any subscription.
